Bike Farm is an all volunteer-run collective dedicated to every aspect of bicycle education, from safe commuting to repair. Our mission is to provide a space where people can learn about the bicycle and build community around promoting sustainable transportation. We strive to demystify the bicycle in order to impact the city in a healthy and positive way.

Last night we met at Momoko’s to discuss her leaving and settle up some issues with Board Members.

The primary result of the meeting was the election of an acting board tasked with rewriting the bylaws to better reflect how Bike Farm is actually run.

Follows are the complete notes:

Purpose

Revisit organization of Bike Farm in the wake of Momoko’s (original founder) leaving the country and review and update the Board (elections) and possible coordinators. Finally update the Articles of Incorporation to allow for the running of Bike Farm.

Definitions of the Board

Legal responsibility and/or officers that can also be board members. Could be required for grant applications.

Board is an oversight group, not a decision-making power that way keeps the decision making powers in the collective.

Ideas:

  1. In name-only
  2. Active, oversight board – adheres to policies and makes sure decisions are legal.
  3. Active, day-to-day board.

Would an Active day-to-day board change the decision-making process of the meetings (consensus based on attendance)?

Describe necessary functions to start?

President, Secretary, Treasurer – minimum. (one also has to be Registered Agent.

If grants, then the Board will be important, but should define line (btw coord. and board so there’s not a large power-holding body).

We need a Board. The Board shouldn’t work in a way to supplant/change the way of operation; yet has to have sufficient authority to make the legal compliance.

Elect board to rewrite bylaws and then have special meeting.

Momoko is the Face of BF, hand off to Steve as Volunteer Coordinator and BF Point Person

Purposal: Steve as Bike Farm Ambassador and Volunteer Coordinator. PASSED.

Key Master

Position is responsible for holding and updating the list of keyholders (with numbers). In charge or making new keys and getting keys back from defunct volunteers. Should be role for Volunteer Coord. ACCEPTED.

Utilities

Sara Sparkle takes it on and checks are signed, etc. Name is “Bike Farm”.

Lease

The idea of how to manage the money and scout any new investments, such as a new space.

As needed and committee formed.

ALSO: Momoko is still on the lease. JesseBruce will be posted as Contact.
